Terms of Use

Effective date: September 3, 2026

1. Agreement

These Terms of Use (“Terms”) govern your access to and use of the OnStage applications, websites, and related services (the “Services”) operated by OnStage (“OnStage,” “we,” “us,” or “our”), associated with Tai Lopez / Tailopez. By creating an account or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) and able to form a binding contract. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

3. Accounts

You are responsible for your account credentials and for activity under your account. Provide accurate information and keep it updated. We may suspend or terminate accounts that violate these Terms, pose security risks, or are inactive.

You may delete your account using in-app account deletion where available, or by contacting support. Some information may be retained as described in the Privacy Policy.

4. The Services

OnStage provides live social experiences including hallway discovery of live rooms, joining rooms as a listener, raising a hand, taking the stage, room chat, direct messages, invites, follows, activity/notifications, and related features. Features may change, and some capabilities (including payments or tips) may not be available in all regions or builds.

Live audio and video are transmitted in near real time. You are responsible for what you say and show. Do not stream or share content you do not have rights to share.

5. Acceptable use and zero tolerance

You agree not to: harass, threaten, or abuse others; engage in hate speech, exploitation, or illegal activity; share sexual content involving minors; spam or scrape the Services; reverse engineer or interfere with the Services; impersonate others; circumvent bans or access controls; or use the Services in a way that harms OnStage, our providers, or other users.

Zero tolerance. OnStage has no tolerance for objectionable content or abusive users. This includes harassment, hate speech, threats, sexual content involving minors, graphic sexual content shared without consent, and other content that violates these Terms or applicable law.

Reporting and blocking. You can flag / report objectionable content or users in the app (for example from a profile, a direct message conversation, or room chat). You can also block abusive users so they cannot easily message or find you.

Enforcement within 24 hours. When we receive a report of objectionable content, we review it and, when we find a violation, we remove the content and eject / suspend the user who provided the offending content within 24 hours. Hosts and cohosts may also mute, kick, remove chat messages, and end rooms to protect participants. We may remove content, end rooms, mute or remove participants, and suspend or terminate accounts at our discretion to protect the community and the Services.

6. User content

You retain ownership of content you create (including profile content, chat, and DMs). You grant OnStage a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and otherwise process that content solely to operate and improve the Services.

You represent that you have the rights needed to grant this license and that your content does not violate law or third-party rights.

7. Payments

If paid features, tips, or virtual currency are offered, purchases may be processed by Apple, Google, or other payment providers. Their terms apply to billing. Virtual items have no cash value outside the Services except as required by law. Refunds are handled according to the applicable store or payment provider policies and any in-product rules we publish.

8. Intellectual property

The Services, including branding, UI, and software, are owned by OnStage and its licensors. These Terms do not transfer any ownership to you. You may not use our trademarks without prior written permission.

9. Third-party services

The Services may rely on third parties (for example cloud hosting, authentication, and realtime media providers). Their availability and terms can affect your experience. We are not responsible for third-party services we do not control.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONSTAGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted or error-free operation, or that live rooms will always be available.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONSTAGE AND ITS AFFILIATES, OFFICERS, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO ONSTAGE FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.

12. Indemnity

You will defend and indemnify OnStage and its affiliates against claims, damages, and expenses arising from your content, your use of the Services, or your violation of these Terms or law.

13. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or if we discontinue the Services. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive termination.

14. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. Exclusive venue for disputes that are not subject to arbitration or small-claims procedures (if we later add such procedures) will be the state or federal courts located in California, and you consent to personal jurisdiction there.

15. Changes

We may update these Terms by posting a revised version with a new effective date. If changes are material, we will provide additional notice where required. Continued use after the effective date constitutes acceptance where permitted by law.
